Terms and Conditions: Websalve Pro Subscription

These Terms and Conditions (the “Agreement”) govern the relationship between Websalve (the “Provider”) and the Client (the “Client”) upon the Client’s enrollment in the Websalve Pro Subscription Package .

 

1. Service Model & Billing

  • 1.1 Subscription Access: The Pro Subscription grants the Client access to the Websalve team, and Websalve Client Platform.
  • 1.2 Minute-by-Minute Billing: All professional services (design, development, strategy, meetings, communications etc.) are billed at the agreed hourly rate, calculated down to the individual minute.
  • 1.3 Subcontracted Services & Products: Any third-party products, materials, or subcontracted specialized services (e.g., professional printing, third-party software licenses, or external hardware) required for the project will be charged to the Client at cost .
  • 1.4 Payment in Arrears: Invoices are generated in the first week of each month for all work completed in the preceding month.
  • 1.5 Payment Terms: All invoices are subject to a Net 10 payment schedule. Payment is due within ten (10) days of the invoice date.
  • 1.6 Administrative Fee: A mandatory 5% administrative fee is applied to the gross total of every invoice.
  • 1.7 Taxes: All quoted rates and fees are exclusive of taxes. All relevant taxes applicable to the Client’s jurisdiction (including but not limited to VAT, IVA, or Sales Tax) will be calculated and added to the final invoice total.
  • 1.8 Third-Party Software & Platform Failures: Websalve is not responsible for the stability, updates, or failures of third-party software, including but not limited to WordPress core, themes, plugins, or third-party APIs. In the event of a platform failure or "break" caused by these external factors, the labor required to diagnose and repair the issue is fully billable at the standard hourly rate. Websalve will notify the Client of the failure and provide an estimate of the required work before commencing repairs.
  • 1.9 Non-Payment of Essential Infrastructure: Continuous access to digital infrastructure (including hosting, business email, and third-party software licenses) is strictly contingent upon timely payment of all invoices. If an invoice covering these essential costs is not settled within the Net 10 payment period, Websalve reserves the right to immediately disable the Client’s website, email services, and associated licenses. Websalve assumes no liability for business interruption or data loss resulting from service suspension due to non-payment.
  • 1.10 Annual Rate Adjustment: To account for increases in operational costs and to ensure a consistent annual salary increase for our specialized staff, the standard hourly rate for the Websalve Pro Subscription will increase by 5% annually. This adjustment will take effect on January 1st of each year. As a courtesy, Websalve will notify clients of this scheduled adjustment through the Client Profile or the dedicated WhatsApp group during the month of December of the preceding year.

 

2. Transparency & Client Responsibility

  • 2.1 Live Timesheets: The Client is provided with access to live timesheets via their Client Profile. These are updated daily upon work completion.
  • 2.2 Budget Monitoring: The Client acknowledges that they have total visibility of accrued costs. The onus is on the Client to monitor their usage.
  • 2.3 Right to Pause: The Client may instruct Websalve to pause work at any time to prevent exceeding their internal budget. Websalve will continue work until an explicit "Pause" instruction is received in writing (via the dedicated WhatsApp group or Email).

 

3. Intellectual Property & Licensing

  • 3.1 Conditional License: All intellectual property, code, designs, and assets created by Websalve remain the property of Websalve until the corresponding invoice is paid in full .
  • 3.2 Transfer of Rights: Upon receipt of full payment, Websalve grants the Client a perpetual, non-exclusive license to use the work for its intended business purpose.
  • 3.3 Non-Payment & Revocation: In the event of non-payment by the due date, any implied license is revoked. The Client is legally required to immediately remove any unpaid work, code, or assets from their digital infrastructure (websites, social media, servers).
  • 3.4 Promotional Rights & Portfolio: The Client grants Websalve a non-exclusive, worldwide, royalty-free license to use the work created, as well as the Client’s company name and logo, for Websalve’s own promotional and marketing purposes. This includes, but is not limited to, displaying the work in portfolios, case studies, and "Our Clients" sections on the Websalve website and social media channels.

 

4. Confidentiality & Non-Disclosure (NDA)

  • 4.1 Protection of Trade Secrets: Both parties agree that during the course of the partnership, they may have access to "Confidential Information" (trade secrets, business plans, financial data).
  • 4.2 Non-Disclosure: Both Websalve and the Client agree to maintain the strict confidentiality of such information and shall not disclose it to any third party without prior written consent, except as required by law.

 

5. Security & Data Liability

  • 5.1 Account Management: The Client acknowledges that the Services involve the creation of digital accounts and the sharing of login credentials.
  • 5.2 Standard of Care: Websalve guarantees the use of industry-standard security practices, including the use of complex, unique passwords and the implementation of Two-Factor Authentication (2FA) wherever the platform allows.
  • 5.3 Limitation of Liability: While Websalve follows the security protocols mentioned in 5.2, the Client acknowledges that no digital transmission or storage is 100% secure. Websalve assumes zero liability for data breaches, hacks, or leaks. By sharing credentials, the Client accepts all inherent risks of digital collaboration.

 

6. Termination

  • 6.1 Cancellation: The Client may cancel the Pro Subscription at any time. Any work completed up to the moment of cancellation remains billable at the standard hourly rate and will be invoiced on the subsequent billing cycle.

 

 

 

7. Amendments to Terms

  • 7.1 Right to Amend: Websalve reserves the right to update or modify these Terms and Conditions at any time.
  • 7.2 Notice of Change: We will provide notice of significant changes via email.
  • 7.3 Deemed Acceptance: Continued use of Websalve services or payment of invoices following an update constitutes the Client's acceptance of the revised Terms and Conditions.
